Other Provisions: Pursuant to the Order on Motion of ASARCO, LLC, for Approval of Compromise of Controversy with El Paso Natural Gas Company (Case No. 05-21207), upon the awarding of the subject contract and capacity, Rate Schedule FT-1 Transportation Service Agreements (TSAs) 722E, 722R, 8226, 822W, 823B and 982A between Asarco, LLC (Asarco) and El Paso Natural Gas Company (El Paso) will be superseded and canceled effective September 30, 2008. The Reservation Rate for the capacity awarded under this posting will be the maximum Arizona FT-1 rate in El Paso's FERC Gas Tariff less a discount of $0.015/dth per day through 12/31/2008 only. Effective January 1, 2009, Asarco will pay the maximum Arizona FT-1 rate. In addition, Asarco will pay the applicable maximum usage charges and surcharges and will be subject to the maximum fuel, lost and unaccounted for charge under El Paso's FERC Gas Tariff. The right-of-first-refusal, pursuant to Section 20.16(f) of the General Terms and Conditions, shall apply to this Agreement. Use of Alternate Point(s): For any receipt and delivery point combination that has not been granted a discount by this agreement, the rate will be determined in accordance with Section 20.14 of the General Terms and Conditions. Under any Transportation Service Agreement resulting from this posting, the maximum usage rate and maximum usage surcharges will be charged consistent with El Paso's Tariff. In addition, unless explicitly provided herein or otherwise in an executed agreement, all other maximum rates, charges and surcharges shall be assessed under the applicable Rate Schedule of the Tariff as those amounts may be changed from time to time or altered by regulatory authority.
